1. Applicability<\/strong><\/p>\n\n\n\n

These terms and conditions apply to all services provided to the customer by a service provider on the basis of a tender. Any deviating terms and conditions of the service provider shall not be recognized.<\/p>\n\n\n\n

2. Scope of services<\/strong><\/p>\n\n\n\n

The service provider shall perform the services described in the tender in a timely and professional manner. Time is an essential factor in the performance of the services.<\/p>\n\n\n\n

3. Obligations of the service provider<\/strong><\/p>\n\n\n\n

The service provider undertakes, among other things, to:<\/p>\n\n\n\n

    \n
  • Compliance with all applicable laws and regulations<\/li>\n\n\n\n
  • Compliance with the customer`s safety and conduct rules<\/li>\n\n\n\n
  • Keeping complete records of services rendered<\/li>\n\n\n\n
  • Obtaining approval for subcontractors from the customer<\/li>\n\n\n\n
  • Ensuring that all persons employed are qualified<\/li>\n\n\n\n
  • Proper handling of customer materials<\/li>\n<\/ul>\n\n\n\n

    4. Change orders<\/strong><\/p>\n\n\n\n

    The customer may request changes to the services. The service provider must submit a binding cost estimate for this.<\/p>\n\n\n\n

    5. Remuneration and payments<\/strong><\/p>\n\n\n\n

      \n
    • The service provider shall receive the remuneration specified in the tender.<\/li>\n\n\n\n
    • Payment shall be made within 30 days of receipt of the invoice.<\/li>\n\n\n\n
    • Travel expenses shall only be reimbursed with prior written approval.<\/li>\n\n\n\n
    • The customer may offset counterclaims.<\/li>\n<\/ul>\n\n\n\n

      6. Intellectual property<\/strong><\/p>\n\n\n\n

      All work results arising within the scope of the services shall become the property of the customer. The service provider shall assign all rights thereto.<\/p>\n\n\n\n

      7. Confidentiality<\/strong><\/p>\n\n\n\n

      The service provider undertakes to maintain confidentiality regarding all non-public information. This obligation shall remain in force even after the end of the contract.<\/p>\n\n\n\n

      8. Representations and warranties<\/strong><\/p>\n\n\n\n

      The service provider warrants that:<\/p>\n\n\n\n

        \n
      • the services will be provided professionally and in accordance with the law<\/li>\n\n\n\n
      • no third-party rights are infringed<\/li>\n\n\n\n
      • the work results are free from thrid-party rights<\/li>\n<\/ul>\n\n\n\n

        9. Liability and indemnification<\/strong><\/p>\n\n\n\n

        The service provider indemnifies the customer against all claims by third parties arising from the service or defects therein.<\/p>\n\n\n\n

        10. Termination<\/strong><\/p>\n\n\n\n

          \n
        • The customer may terminate the contract at any time with 3 days`notice.<\/li>\n\n\n\n
        • Termination without notice is possible in the event of breaches of duty.<\/li>\n<\/ul>\n\n\n\n

          11. Force majeure<\/strong><\/p>\n\n\n\n

          Neither party shall be liable for events beyond its control, such as natural disasters or official measures.<\/p>\n\n\n\n

          12. Assignment<\/strong><\/p>\n\n\n\n

          The service provider may not assign rights and obligations under this contract without the customer's consent.<\/p>\n\n\n\n

          13. Legal relationship<\/strong><\/p>\n\n\n\n

          The relationship between the parties is that of independent contractual partners. No partnership or power of representation is created.<\/p>\n\n\n\n

          14. Choice of law and place of jurisdication<\/strong><\/p>\n\n\n\n

          KRONPRINZ Germany GmbH is governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Wuppertal.<\/p>\n\n\n\n

          For companies outside Germany, the provisions set out in the appendix to these General Terms and Conditions apply.<\/p>\n\n\n\n

          15. Other provisions<\/strong><\/p>\n\n\n\n

            \n
          • Only written amendments are effective.<\/li>\n\n\n\n
          • Individual invalid clauses shall not affect the validity of the rest of the contract.<\/li>\n\n\n\n
          • The contract language is German.<\/li>\n\n\n\n
          • Supplementary provisions apply to subsidiaries in China (Appendix A).<\/li>\n<\/ul>\n\n\n\n

            Appendix<\/strong><\/p>\n\n\n\n

            ANHANG A \u2013 China<\/strong><\/p>\n\n\n\n

              \n
            • Dispute resolution: Arbitration under Chines law (CIETAC).<\/li>\n\n\n\n
            • Legal references: National and local laws of China.<\/li>\n\n\n\n
            • Language: English.<\/li>\n\n\n\n
            • Representation (Service provided by a third party): Only with consent, representative is directly liable to the customer.<\/li>\n<\/ul>\n\n\n\n
